ONTANI STUDIO

Legal

Terms of Use

Effective date: August 27, 2026

These Terms of Use explain the rules for visiting and using the Ontani Studio website and, where access has been granted, the invitation-based Client Portal.

They apply to browsing the public site, using production inquiry forms, and using the Client Portal when invited. They are not a substitute for a separately negotiated client services agreement, statement of work, proposal, or contract for a specific engagement, and they do not guarantee that any project will be accepted.

01

Agreement to these Terms

By accessing or using this website or the Client Portal, you agree to these Terms of Use. If you do not agree, do not use the website or portal.

References to “Ontani Studio,” “we,” “us,” or “our” mean the studio operating this website under the public studio name shown on the site.

02

Scope of these Terms

These Terms govern use of the public marketing website and the Client Portal features described here.

They do not create an employment relationship, contractor engagement, partnership, or joint venture. They do not replace a separately negotiated proposal, statement of work, contract, or services agreement for paid project work.

If a written proposal, contract, or other agreement is accepted for a project through the portal or otherwise, that agreement will govern the engagement to the extent it applies. These website Terms will continue to apply to public use of the website and general portal access unless that later agreement says otherwise for the website or portal itself.

03

Website and portal purpose

This website provides information about digital services offered by the studio and allows visitors to:

  • Learn about services such as Web Design & Development, E-Commerce, SEO & Local SEO, AI & Business Automation, Website Management, and Custom Tools & Web Apps
  • View Work and project presentations
  • Explore concept demonstrations
  • Send general inquiries through Contact
  • Submit project inquiries through Start a Project
  • Request a Free Website Audit
  • Sign in to the Client Portal when invited

The public marketing site does not currently offer checkout or online card payment processing. Online card payments are not currently offered through the Client Portal either. Billing features that may appear in the portal relate to schedules, invoices, and offline or manually recorded payment handling where used for a project—not live card checkout.

04

Client Portal

The Client Portal is an authenticated workspace for invited clients and authorized studio administrators. Access is invitation-based and is not offered as open public self-registration.

Depending on project assignment and permissions, portal users may view or use features such as project status, files, messages, revision or change requests, approvals, proposals, contracts, notifications, and billing schedules or invoices.

You are responsible for safeguarding credentials used to access the portal and for activity that occurs under your account. Do not share login credentials. Notify us promptly if you believe unauthorized access has occurred.

Portal proposals, contracts, and related commercial documents presented for review or acceptance are handled through the authenticated portal workflow. Portal acceptance of a document is not the same as a third-party electronic signature service unless a separately agreed process says otherwise.

05

Services information

Service pages and related copy describe general capabilities and areas of work. They are informational marketing descriptions.

Unless a separately agreed written proposal, contract, or statement of work says otherwise, website content does not promise project acceptance, fixed pricing, specific deliverables, timelines, SEO rankings, traffic increases, revenue increases, or other business outcomes.

Availability and whether a particular request is a fit are determined separately after an inquiry is reviewed.

06

No client relationship from form submission alone

Submitting the Contact form, Start a Project form, or Free Website Audit form does not by itself:

  • Create a client or customer relationship
  • Create a services contract
  • Obligate us to accept work
  • Establish pricing or payment terms
  • Reserve availability
  • Guarantee a response
  • Guarantee delivery of an audit or any other deliverable

Production form submissions are transmitted so the studio can review inquiries. Any later engagement would need separately agreed terms appropriate to that work. Invitation to the Client Portal, or use of portal features, likewise does not by itself replace a project agreement where one is required for the engagement.

07

Free Website Audit requests

The Free Website Audit page lets visitors request a focused review of a public website. Submitting the form is a request only.

In the current implementation, the website does not automatically crawl, fetch, or analyze the submitted website URL as part of form processing. The URL is normalized for delivery (for example, adding https:// when a scheme is omitted) and included in the inquiry email.

Submitting a request does not guarantee that an audit will be accepted or delivered. If observations are later provided, they are informational in nature and intended to highlight clarity, usability, performance, search readiness, conversion-path, and related opportunities.

A Free Website Audit request or any later review does not guarantee SEO rankings, traffic, revenue, conversion rates, accessibility certification, security outcomes, or other business results. The marketing page already describes the intended review as a focused website review rather than a formal certification or guaranteed ranking service.

08

Work presentations and concept projects

The Work section presents project briefs and related materials. Some Work currently shown is clearly identified as self-initiated, fictional, or concept work created to demonstrate design and development capabilities.

Where a project is labeled as a concept or design demonstration, it should not be interpreted as:

  • An actual client engagement
  • An endorsement by a real business
  • A testimonial
  • Documented business results
  • A real operating business, restaurant, firm, or contractor
  • A real commercial offer, reservation system, or professional-services provider

Concept labeling applies to the projects currently identified that way. These Terms do not require every future Work entry to be fictional. Real client work may be added later and should be identified appropriately when published.

09

Concept demo interactions

Certain concept pages include interactive demonstration forms. In the current implementation, those interactions are design demonstrations only and are not connected to production inquiry delivery.

Examples currently include the Vetta reservation demo, the Northwell Partners inquiry demo, and the Ridgeline Build inquiry demo.

Submitting those demo forms does not create reservations, send inquiries to fictional businesses, create real service requests, or establish a relationship with a fictional concept brand.

10

Intellectual property

Unless otherwise noted, website text, layout, design presentation, and portfolio and concept presentations created for Ontani Studio are provided for viewing on this site and remain subject to applicable intellectual-property rights held by Ontani Studio or its licensors.

You may browse and reference public pages for ordinary personal or internal business evaluation of the studio. You may not copy, scrape, republish, or commercially reuse substantial portions of the site’s design or content without permission, except where applicable law allows.

Materials you upload or provide through the Client Portal remain subject to the rights and licenses applicable to that engagement. You represent that you have the rights needed to share materials you upload for project use.

Third-party trademarks, logos, open-source software, libraries, fonts, and other third-party materials remain subject to their respective owners’ rights and licenses. These Terms do not claim ownership of technologies such as Next.js, React, Resend, or other third-party tools used to build or operate the site.

The public studio name shown on the site is not presented here as a registered trademark or as a registered legal entity.

11

Acceptable use

When using the website or Client Portal, you agree not to:

  • Interfere with the website’s or portal’s operation or security
  • Attempt unauthorized access to systems, accounts, or data
  • Submit malicious code or harmful payloads
  • Abuse or automate production forms or portal features in a disruptive way
  • Impersonate another person or misrepresent your affiliation
  • Use the website or portal for unlawful purposes
  • Intentionally overload or disrupt the service
  • Share portal credentials or attempt to access projects or files you are not authorized to use
12

Form submissions and portal content

You are responsible for the information you voluntarily submit through production forms and for content you provide through the Client Portal. Do not submit passwords for other services, payment card information, or other unnecessary sensitive personal information through public inquiry forms.

How personal information is handled is described in the Privacy Policy.

Privacy Policy

14

Website and portal availability

We may modify, update, suspend, or discontinue parts of the public website or Client Portal from time to time.

We do not guarantee uninterrupted or error-free availability, and we do not publish an uptime commitment for this marketing site or portal.

15

Information accuracy

Reasonable effort may be made to keep public website information current, but content can change, contain omissions, or become outdated.

Marketing pages should not be treated as a binding project proposal, quote, or statement of work. Proposals, contracts, and billing records presented in the Client Portal should be reviewed carefully in the portal for the terms that apply to a specific engagement.

16

Informational nature of marketing content

General website content about design, development, SEO, automation, digital strategy, and related topics is informational.

It is not a promise of particular rankings, search-engine placement, sales, leads, conversions, uptime, revenue, performance scores, accessibility certification, or security outcomes for your business.

17

Disclaimers

To the extent permitted by applicable law, the website, Client Portal, and their content are provided on an “as is” and “as available” basis.

We disclaim warranties that the website or portal will meet every expectation, be continuously available, or produce any particular business result. Nothing on the website creates a warranty unless separately agreed in writing for a specific engagement.

18

Limitation of liability

To the extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages arising from use of the public website or Client Portal, inability to use them, or reliance on public website content.

The public website does not currently sell products or process online card payments. Client Portal billing features may include schedules, invoices, and offline or manually recorded payments; they do not currently include online card checkout. These Terms do not invent a dollar cap tied to fees paid through online card processing on the site.

Some jurisdictions do not allow certain limitations. In those places, our liability is limited only to the fullest extent permitted by applicable law.

19

Access restriction

We may restrict or block access to the website or Client Portal if we reasonably believe it is being misused, including abusive form submissions, unauthorized access attempts, or interference with security or availability.

For the Client Portal, this may include suspending or ending invitation-based account access where appropriate.

20

Changes to these Terms

We may update these Terms as the website, Client Portal, or related services change. The effective date at the top of this page will be revised when the Terms are updated.

Continued use of the website or Client Portal after an update means the revised Terms apply to later use, subject to applicable law. We do not commit to emailing every visitor about updates.

21

Governing law and venue

These Terms do not currently designate a specific governing law or dispute forum.

An updated version of these Terms may publish applicable governing law and venue when the studio’s legal structure and preferred forum are finalized. Until that selection is expressly stated here, this section does not choose a particular jurisdiction or venue.

22

Contact

Questions about these Terms may be sent to hello@ontanistudio.com.

We do not publish a phone number or physical mailing address for Terms questions on this website.
